Abstract:
The article proposes a model in which the manufacturer makes two main decisions: to control the retailer or not, and to vertically integrate with the retailer in a context in which the retailer owns private information about the results of the project, and the manufacturer and seller have private information about their actions. The result is some predictions, potentially relevant to the empirical literature on vertical integration, that revolve around a new theoretical result in which we find the conditions under which vertically integrated firms can carry out monitoring activities.
